Section 16
(1)
Subject to subsections (2) and (3), legal proceedings by or against an ILP may be instituted by or against any one or more of the general partners only; and no limited partner shall be a party to such proceedings.
(2)
If the court considers it just and equitable to do so, it may authorise a general partner or any other person to join in or otherwise institute proceedings against any one or more of the limited partners to enforce a liability arising under sections 6(2) or 10(3).
(3)
A limited partner may institute any proceedings on behalf of an ILP if any one or more of the general partners having authority to institute those proceedings have, without good cause, refused to do so.
