Section 39
1)
Where an offence under this Order committed by a body corporate is proved to have been committed with the consent or connivance of, or to be attributable to any neglect on the part of any director, manager, secretary or other similar officer of that body, or of any person who was purporting to act in any such capacity, he, as well as the body corporate, shall also be guilty of that offence and liable to be proceeded against and punished accordingly.
~2) Where the affairs, business or property of a body corporate or person are managed by its members, subsection Ill applies in relation to the acts and omissions of a member of the body in the course of managing its affairs, business or property as if, were the body to have those offices, he were a director or other officer described in subsection ( 1) of the body corporate.
