Section 72
(1)
Subject to any relevant modification providing for longer notice, not less than three days notice of a meeting of directors shall be given to each director.
(2)
Notwithstanding subsection (1), but subject to any relevant modification, a meeting of directors held in contravention of that subsection shall be valid if all of the directors, or such majority of them as may be specified in the Memorandum or Articles, who are entitled to vote at the meeting have waived the notice of the meeting; and, for this purpose, the presence of a director at a meeting shall be deemed to constitute waiver on his part.
(3)
The inadvertent failure to give notice of a meeting to a director or the fact that a director has not received notice of a meeting does not invalidate the meeting.
