Section 12
(1)
From the date of incorporation mentioned in the certificate of incorporation issued by the Registrar under section 11(3), such persons as may from time to time be members of the IBC shall be a body corporate by the name contained in the Memorandum, having a separate legal personality and, subject to the terms of the Memorandum, the full capacity of an individual who is sui juris.
(2)
A certificate of incorporation issued by the Registrar under section 11(3) shall be prima facie evidence that all the requirements of this Order in respect of registration and of matters precedent and incidental thereto have been complied with and that the company is an
IBC authorised to be registered and duly registered under this Order.
